The IPO market in India in 2025 has remained subdued, when compared to the same period in 2024.

The volatility in the broader stock markets has led to a more cautious approach this year. The market sentiment remains lacklustre as several recent IPOs are trading below their issue price.

This is leading to hesitancy among both retail and institutional investors. Concerns include geopolitical tensions and tariff uncertainties, which have caused companies to delay their IPO plans despite regulatory approvals.

However, with the stock markets recovering sharply in April-May there is likely to be an upswing in the IPO segment. This week we have the IPO of Belrise Industries slated to open.

About Belrise Industries

Belrise Industries is a leading Indian automotive component manufacturer established in 1988 (formerly known as Badve Engineering Ltd).

The company specialises in designing and manufacturing a broad range of products for two-wheelers, three-wheelers, four-wheelers, commercial vehicles, and agri-vehicles.

Its product portfolio includes sheet metal parts, polymer components, suspension systems, chassis frames, exhaust systems, mirror systems, and other safety-critical automotive components. It also supplies components for electric vehicles and has begun delivering e-mobility subsystems.

The company operates over 17 manufacturing facilities spread across 9 states in India, employing more than 15,000 people.

It has a strong export presence with customers in the US, Japan, the UK, and China. Belrise Industries maintains long-standing relationships with over 29 OEMs globally, including major clients such as Bajaj Auto, Tata Motors, Mahindra, Royal Enfield, and Jaguar Land Rover.

What Makes This IPO Stand Out?

  • Diverse and Robust Product Portfolio: Belrise Industries offers over 1,000 automotive components, including chassis systems, exhaust systems, body-in-white parts, polymer components, battery containers, suspensions, and steering columns.
  • Strong Manufacturing Footprint: The company operates 17 manufacturing plants across 10 cities in 9 states in India, demonstrating significant scale and geographic diversification.
  • Established Client Base: Belrise Industries has long-term relationships with 29 original equipment manufacturers (OEMs).
  • No Offer for Sale Component: The IPO consists entirely of new equity shares, indicating the promoters are not selling their stake and are focused on raising capital for expansion rather than exit.
  • Use of IPO Proceeds for Debt Reduction: Rs 16.18 bn of the Rs 21.5 bn IPO proceeds will be used to repay debt.
  • Reasonable Valuation: The IPO price band of Rs 85-90 per share implies a moderate PE ratio (around 18-24x based on FY24 earnings).

Key IPO Details and Structure

Here are the key details of the upcoming offer:

Issue period: 21 May 2025 to 23 May 2025

Type of issue: Book built issue

Price band: Rs 85 to Rs 90 per equity share.

Face value: Rs 5 per equity share.

Lot size: Minimum 166 shares per application, with multiples of 166 shares thereafter.

Application limit: Minimum investment for retail investors is about Rs 14,940 at the upper price band.

Tentative IPO allotment date: 26 May 2025

Tentative listing date: 28 May 2025

The majority of the IPO proceeds (approximately Rs 16.18 bn) will be used to repay debt, helping the company reduce its consolidated borrowings of about Rs 29.04 bn as of March 2025. The remainder will be used for general corporate purposes.

A Close Look at The Financials

For the financial year 2023-24, Belrise Industries reported consolidated revenue of approximately Rs 74.84 bn, marking a 13.7% increase from Rs 65.82 bn in FY23.

The company reported a net profit for FY24 of Rs 3.11 bn.

For the nine months ended 31 December 2024, the company recorded revenue of about Rs 60.13 bn and net profits of Rs 2.45 bn.

Return on Capital Employed (ROCE) stands at about 14.8% and Return on Net Worth (RoNW) is around 13.3%.

Risk Factors

  • Seven out of its 17 manufacturing facilities are located in Maharashtra. This geographic concentration exposes the company to potential regional disruptions.
  • A significant portion of revenue is derived from a limited number of key customers.
  • Belrise’s fortunes are closely linked to the health of the automotive sector. Any slowdown in vehicle demand, production disruptions, or adverse regulatory changes in the auto industry can negatively impact the company’s business and profitability.
  • The auto component industry is competitive, and OEMs can exert pricing pressure, which could affect margins and profitability.
  • Since Belrise exports to markets including the US, Japan, UK, and China, currency exchange rate volatility could impact earnings if not adequately hedged.

Conclusion

Belrise Industries is a strong mid-sized player in the Indian auto components sector with a diversified product portfolio and significant market share in two-wheeler metal components.

Compared to larger peers like Bharat Forge and Endurance Technologies, Belrise has a more focused product range and primarily domestic manufacturing footprint but is expanding through acquisitions such as H-One India.

Valuation-wise, Belrise's IPO pricing is lower than many listed peers. However, investors should weigh the sector's cyclicality, and the company's moderate margins before subscribing.

Investors should evaluate the company's fundamentals, corporate governance, and valuations of the stock as key factors when conducting due diligence before making investment decisions.
