The Indian stock markets opened and traded in the red today, 27 May. The fall was amid mixed global cues and sectoral selling pressure.

The Nifty 50 index dipped below 25,000 and was trading down 0.94% around 24,767 points. The BSE Sensex was down 795 points at 81,380.9.

Sector-wise, most sectors were in the red, with Nifty IT being the top loser (down around 0.72%). Exceptions included realty and pharma, which showed some resilience.

One stock that is falling sharper than the markets is the stock of Sagility India. The stock today hit the lower end of the circuit filter.

Here is the reason for the same.

Promoters Selling Stake

Sagility India's promoter, Sagility B.V., is undertaking a significant stake sale through an Offer for Sale (OFS) to comply with minimum public shareholding norms.

The promoter plans to sell up to 15.02% of the company's equity shares in a two-tranche OFS:

  • Base Offer: Sale of approximately 346.13 million (m) shares, representing 7.39% of the total paid-up equity.
  • Green-shoe Option: An additional 356.9 m shares (7.62%) may be sold if there is oversubscription, bringing the total potential sale to 703 m shares or 15.02% of equity.

The OFS opened for non-retail investors on 27 May 2025, and for retail investors and non-retail investors carrying forward unallotted bids on 28 May 2025.

The floor price for the OFS has been set at Rs 38 per share, which was about an 11.33% discount to the previous closing price of Rs 42.86 on the BSE. This discount and the large stake sale triggered a sharp decline in Sagility India's share price, which hit its lower circuit.

This move by Sagility B.V. is to meet regulatory requirements for minimum public shareholding. The foreign promoters held a stake of 82.39% in the company as at the end of March 2025. The stake sale will also increase public float of the company's stock.

What Next?

Sagility India reported a strong quarterly numbers for March 2025. The consolidated net profit surged 127.62% year-on-year YoY to Rs 1,825.7 m, up from Rs 802.1 m in the same quarter of the previous year. Revenue for the quarter increased 22.23% YoY to Rs 15.68 billion (bn).

The results reflect robust growth driven by strong demand in the US healthcare outsourcing market, where Sagility India operates.

Sagility India has recently acquired BroadPath Healthcare Solutions, a US-based healthcare services company headquartered in Tucson, Arizona.

The acquisition is a strategic move to accelerate its growth in the mid-market payer segment of the US healthcare outsourcing market.

It broadens Sagility's client base, enhances its service capabilities, and strengthens its competitive position with a focus on technology-driven operational excellence and employee engagement.

While the promoter's stake sale via OFS has caused short-term stock volatility, it does not undermine the company's growth trajectory.

Sagility India's focus on innovation, client diversification, and operational excellence underpins its future prospects as a healthcare outsourcing player.

How Shares of Sagility India have Performed Recently

Over the last one month, the share price of Sagility India remained flat from levels of Rs 41.07 to the current levels of Rs 40.72.

The stock hit a 52-week high of Rs 56.44 on 30 December 2024. The stock also hit a 52-week low of Rs 27.04 on 13 November 2024.
