Today, June 17, the Indian stock markets opened on a relatively positive note but quickly slipped into the red as the ongoing conflict between Iran and Israel weighed on sentiment.

At the time of writing, the Nifty 50 index is down 55 points (about 0.22%) near 24,891. The Sensex has dropped 136 points to 81,665 points. Sectors like pharma and metals are down, though the Nifty Realty index showed some gains.

One stock that has fallen sharply is the stock of Vishal Mega Mart.

Let's see some reasons for the fall.

#1 Promoter Stake Sale

Vishal Mega Mart's share price has fallen sharply primarily due to the promoter entity, Samayat Services LLP, planning a significant stake sale through block deals.

Specifically, the promoter is offloading 10-20% equity stake, with the block deal valued initially at about Rs 50.57 billion (bn) and later upsized to nearly Rs 100 bn.

This is likely to be executed at a floor price of around Rs 110 per share, which is roughly 12% lower than the previous closing price.

This large sale has caused the share price to drop sharply, as the floor price is lower than the current market price of the stock.

#2 Shareholder Lock-in Period Ends

The shareholder lock-in period of the company has ended.

According to media reports, it will now make available as many as 2,562 m shares to be traded.

This is likely to have added further pressure on the stock.

What Next?

Vishal Mega Mart has been growing rapidly over the last few years.

The company is pursuing an aggressive expansion strategy focused on increasing its retail footprint, especially in tier 2 and smaller cities across India.

In FY25, the company added 85 net new stores, bringing its total store count to 696 across 458 cities.

A key part of the company's growth has been improving its product mix. This has led to about 70% of revenue coming from private-label and in-house brands across multiple categories, including electrical appliances and FMCG. This has enabled the company to improve margins.

The retailer is also growing its omnichannel presence and hyperlocal delivery services, which now cover 429 cities with 9 m registered users.

On the financial front, Vishal Mega Mart did well in Q4 FY25. The company reported sales of Rs 25.48 bn, up 23.15% YoY from Rs 20.69 bn in Q4 FY24. Net profit was Rs 1,150 m, up 88.03% YoY from Rs 612.2 m in Q4 FY24.

Vishal Mega Mart's store additions, the strengthening of its product portfolio, and omnichannel growth, position it to capitalise on rising consumption in smaller cities and towns in India.

That said the business is subject to intense competition, especially from online retailers.
