I Found an Unusual Combination in a Stock: Insider Buying + a 67% Discount

The 2-year percentage loss for the Nifty 50 has crossed double digits. The IPO market is active like never before. The Smallcap to Sensex ratio is touching new lifetime highs.

When the markets send such mixed signals, insider buying is one signal that I like to start with.

As I was looking through recent insider buying data, one company caught my attention.

Between June and September 2026, Aeroflex Enterprises Ltd saw repeated purchases of its shares from the open market.

The total value of these purchases was around Rs 134 m, at an average price of Rs 107 per share. The buying took place between Rs 102 and Rs 120. As I write this, the stock is trading at Rs 122.

Insiders have been buying even as the stock moved higher. Whenever I see something like this, I like to go one step further.

What exactly are they buying into?

So, I started digging... and this is where the story became interesting.

Aeroflex Enterprises is not a company that fits neatly into one box.

It has businesses across different areas and has also built a portfolio of more than 160 startup investments, spanning fintech, healthtech, deeptech, mobility, edtech, robotics, gaming, D2C, and other emerging businesses.

Some of the names in its portfolio are more familiar than others. TrulyMadly, for instance, is a dating app, while Zingbus operates intercity bus services.

There are plenty of moving parts here. But one particular holding stood out.

Aeroflex Enterprises owns 59.84% of another listed company, Aeroflex Industries Ltd.

Aeroflex Industries operates in the flexible flow solutions space, supplying products used across industries such as railways, shipbuilding, and heavy industries with clients like Mazgaon Dock Ltd, SAIL, BHEL, JSW, and Arcelor Mittal.

And while looking at this business, I came across another interesting development.

Aeroflex Industries has entered the liquid cooling solutions space for high density AI and data centers.

It has entered into an agreement with a large US corporation and has received orders for components used in high performance liquid cooling systems. That immediately made the business more interesting to me.

But then I looked at the numbers... and this is where I had to pause.

Aeroflex Industries has a market capitalisation of roughly Rs 69 bn. Aeroflex Enterprises owns 59.84% of it.

So, just the listed stake in Aeroflex Industries is worth more than Rs 41 bn at current market valuations.

Now look at Aeroflex Enterprises itself. Its market capitalisation is only around Rs 13 bn.

Read that again.

The market value of Aeroflex Enterprises is roughly one-third of the value of its stake in this one listed company.

That implies a discount of around 67%.

And this is where the story gets really interesting.

That Rs 41 bn valuation does not include any value for the rest of Aeroflex Enterprises.

It does not include its other businesses. It does not include its portfolio of more than 160 startups. It does not include any value that may eventually emerge from those investments.

Of course, there is an obvious caveat.

Aeroflex Enterprises is a holding company, and holding companies often trade at discounts to the market value of their underlying investments. There can be structural complexities, taxes, liquidity considerations, and uncertainty around how and when value gets unlocked.

So, I am not saying that a 67% discount automatically means the stock is cheap.

But that is not really the question that got me interested. The question is this:

How much of a discount is justified?

Then there is that other piece of the puzzle.

While the market is applying this large discount, insiders have been putting their own money into the shares. Around Rs 134 m worth of purchases in just four months.

That doesn't prove that the stock is undervalued. Insider buying is a clue, not a conclusion.

But when repeated insider buying sits alongside a large gap between the market value of a parent and the value of one of its listed holdings, it's difficult to ignore.

This is not a stock recommendation.

There is clearly much more to investigate here - the underlying businesses and investments, their true value, holding company structure, and the potential risks.

And last but not least, why the market is assigning such a large discount?

This is exactly the kind of situation that should make one want to dig deeper.

Sometimes an interesting investment idea doesn't begin with a prediction about where a stock price is headed. It begins with a discrepancy that doesn't quite make sense. Here, that discrepancy is a Rs 13 bn company owning a listed stake worth more than Rs 41 bn.

And insiders are buying.

That, to me, is a question worth investigating. Do you agree?

Let me know if you would like me to bring more such stories to your attention.

Yes, this story is very very interesting and would appreciate similar stories as well. Insider buying and promotor increasing stake are imp fundas when choosing a stock.
